Statutes for the association VRheritage.org
1. The name of the association is VRheritage.org (VRh). It's headquarters
are located in Copenhagen, Denmark.
Purpose
2. The purpose of the association is to give everyone with access
to the Internet - regardless of geographical location - free, virtual
access to World Heritage (defined as those World Heritage sites inscribed
on the World Heritage List by the World Heritage Committee for UNESCO).
3. Using innovative electronic communication techniques and methods,
we aim to create an effective and up-to-date tool, bringing the general
public to its shared world heritage. By doing so, we expect to promote
the public understanding of the importance of preservation of World Heritage
sites.
4. VRheritage.org is a non-profit-making association. Any income
or profit generated by the association will be used towards the purposes
outlined in the statutes for the association.
Membership
5. Members of the association are individuals who contribute time,
labour or other resources to the association and who actively work towards
the outlined goals of VRheritage.org. Companies and organisations that
also contribute to the goals of the association are also welcome and will
be defined as "company members".
6. Admission to and withdrawal from the association follows application
to the Board. The Board can remove members on its own initiative if the
members fail to promote the goals of the organisation. A removal from
the association should be confirmed at the next general assembly.
Administration
7. Members of the association will vote 3-7 individuals constituting
the Board of the association. Following the first election, the Board
will complement itself by an election held among members of the association.
A Board member is able to withdraw from the Board at any time following
a written request given with one month's notice. In that case, the Board,
if necessary, appoints a new member of the Board from among the members
of the association.
It is the Board's responsibility to keep the membership of the board to
between 3 and 7 persons. If it is not possible to comply with this condition,
a new election to the Board will be held among the members.
On the request of 4/5 members of the association, a new election for the
Board may be held.
8. The Board ensures that the activities of the association are
organised in a democratic and legal manner, according to the purpose and
guidelines of the association.
9. From among its members, the Board appoints a chairman, whose
signature binds the association and whose task is to ensure the best feasible
co-operation within the association.
10. The Board calls a general assembly, annually. At this meeting,
the accounts and the annual report of the association are presented and
approved. A budget proposal and/or activity plans for future tasks are
discussed and approved in principle. Approvals are taken by simple majority
votes from among the members present at the annual assembly. Each member
has one vote.
Procedures
11.The account of the association is prepared quarterly by a liable
Board member or auditor and presented yearly at the general assembly for
approval.
The Board members are not personally liable for the financial arrangements
of the association. For the association's arrangements, only the association
is liable with its own capital.
12. Further necessary guidelines for the activities of the association
are prepared by the Board of the association. As required, they are summarised
in a collection of regulations that forms a part of the annual report
approved at the general assembly each year.
13.In the event of closing down the association, any possible surplus
capital is allocated to an organisation or association working for a similar
purpose as VRheritage, or an organisation or association operating with
a humanitarian or social aim.
14. These statutes are adopted and approved at the extraordinary
general assembly held 15 August 2001.
